Our law firm has specialised in the field of commercial and company law for many decades. We advise and represent our clients in commercial and company law, both in and out of court.

In the field of company law, our work encompasses in particular, the reviewing, revising and reorganising of contracts, support in contractual negotiations, the assertion and enforcement of claims, as well as defence against claims.

In company law, we advise and represent shareholders, general managers and institutions and bodies of all types of companies and legal forms, as well as enterprises and companies. Our activities also include, in particular, establishing and legal transformation of companies (e.g.non-trading partnerships (GbR), general partnerships (OHG), limited partnerships (KG), limited partnership with, typically, the sole general partner being a limited liability company (GmbH & Co. KG), limited companies (GmbH), public limited company (AG), Societas Europaea (SE), as well as foundations), the verification and amending of memoranda and articles of association, execution of capital increases and reductions, the acquisition and sale of participating investments and companies, as well as providing general legal advice and support in connection with company activities. In addition, we advise and represent our clients in all issues relating to D&O liability, shareholder and corporate disputes (including actions for annulment and rescission of shareholders’ resolutions).

Extensive advisory services and representation in connection with law governing professional associations of lawyers also form part of our activities.

In addition, we provide our clients with advice and support in respect of shareholder and general meetings, as well as preparing and organising them on their behalf.
